Does a dormant company need to file a tax return?

If your limited company is not trading, you might assume there is nothing to file, nothing to pay and nothing to worry about. Unfortunately, it’s not always quite that simple.

One of the most common questions directors ask is: does a dormant company need to file a tax return?

The short answer is: sometimes.

A dormant company may not need to file a Company Tax Return every year, but this depends on whether HMRC has asked for one and whether the company is genuinely dormant for Corporation Tax purposes.

In this guide, Agile Accountants explain the dormant company tax return rules including what dormant really means, when you need to tell HMRC, what still needs to be filed with Companies House and the mistakes to avoid.

What is a dormant company?

A dormant company is usually a limited company that is not currently trading and has no significant financial activity.

However, there are two important definitions to understand:

  1. Dormant for Corporation Tax with HMRC
  2. Dormant for Companies House accounts

These are similar, but not exactly the same. Dormancy can mean different things for Corporation Tax and for Companies House filing purposes.

For HMRC, a company is generally dormant if it is not trading and has no other income, such as investment income. For Companies House, a company is normally dormant if it has had no significant accounting transactions during the financial year.

That difference matters, because it affects whether a dormant company tax return is needed.

Does a dormant company need to file a tax return?

In many cases, once HMRC accepts that your company is dormant for Corporation Tax, you will not need to file a Company Tax Return unless HMRC asks you to.

However, there is one very important rule:

If HMRC sends your company a notice to deliver a Company Tax Return, you must deal with it.

You should not just ignore HMRC because the company is dormant. If HMRC expects a return and you do not file one, penalties may apply.

This is why directors need to make sure HMRC knows the company is dormant. Gov.uk has a specific service for telling HMRC that your company is dormant for Corporation Tax.

What is a dormant company tax return?

A dormant company tax return usually refers to a Company Tax Return, also known as a CT600, filed for a company that has had no taxable activity.

If HMRC has not accepted the company as dormant, or if a notice to file has been issued, the company may still need to file a return confirming that there is no Corporation Tax to pay.

This can feel somewhat frustrating when nothing has happened in the business, but HMRC still needs the company’s tax position to be clear.

When might a dormant company still need to file a tax return?

A dormant company tax return may still be required if HMRC has issued a notice to file.

It may also be needed if the company:

  • The company has stopped trading
  • The company has no other income
  • HMRC has been told the company is dormant
  • HMRC has not issued a notice to file a Company Tax Return

Even small transactions can cause confusion. For example, receiving a small amount of bank interest could mean the company is no longer dormant for Corporation Tax purposes.

This is why it is important to check the details rather than simply guessing.

Do dormant companies still file accounts?

Yes. Even if a company is dormant, it normally still needs to file accounts with Companies House.

Dormant company accounts are usually simpler than full trading accounts, but they still need to be submitted correctly and on time. Companies House confirms that dormant companies can file dormant accounts, and that filing dormant accounts online is free.

This is one of the biggest misunderstandings around dormant companies. A dormant company may not need to file a Corporation Tax return every year, but it still has Companies House responsibilities.

What else does a dormant company need to file?

A dormant limited company will usually still need to file:

  • The company has stopped trading
  • The company has no other income
  • HMRC has been told the company is dormant
  • HMRC has not issued a notice to file a Company Tax Return

The confirmation statement tells Companies House that the company information on the register is correct. It is still required even if the company is dormant.

So, while your company may not be trading, it can’t just simply be forgotten.

How to tell HMRC your company is dormant

If your company has stopped trading or has never traded, you should tell HMRC that it is dormant for Corporation Tax. You can do this through the official gov.uk service and you will usually need your company details, including your company registration number and Corporation Tax information.

Once HMRC accepts the company as dormant, it may stop asking for Company Tax Returns until the company becomes active again. However, keep an eye on any letters or online messages from HMRC. If they request a return, you should act and not just ignore it.

If your company has never traded

If you set up a company but never used it, you should still tell HMRC that it is dormant.

This often happens when someone incorporates a company to protect a name, prepare for a future business idea or hold a company in reserve. Even if no trading has taken place, the company still exists and has filing responsibilities.

If your company has stopped trading

If your company used to trade but has now stopped, tell HMRC when trading ceased.

You may still need to file a final Company Tax Return for the period when the company was active. After that, if there is no further income or activity, HMRC may treat the company as dormant.

Common dormant company tax return mistakes

Dormant companies often seem simple, but small mistakes can cause unnecessary penalties and stress.

Assuming dormant means no filings at all

Dormant does not mean there is nothing to do. You may still need to file dormant accounts and a confirmation statement with Companies House.

Forgetting to tell HMRC

If HMRC does not know the company is dormant, it may continue to expect a Company Tax Return. That can lead to avoidable reminders, penalties and admin.

Using the company bank account

If transactions go through the company bank account, the company may no longer be dormant. Even small amounts can create confusion.

Missing Companies House deadlines

Dormant company accounts still have deadlines. If you miss them, late filing penalties can apply.

Restarting trading without telling HMRC

If the company starts trading again, HMRC needs to know. The company may need to register as active for Corporation Tax and start filing tax returns again.

Should you keep a dormant company open?

Sometimes, keeping a dormant company open makes sense.

You might want to keep the company if:

  • The company has stopped trading
  • The company has no other income
  • HMRC has been told the company is dormant
  • HMRC has not issued a notice to file a Company Tax Return

However, if you have no plans to use the company again, closing it may be cleaner and simpler. Before making that decision, check whether the company has any debts, assets, tax liabilities or legal obligations. A quick conversation with an accountant can help you avoid mistakes.

Final answer: does a dormant company need to file a tax return?

A dormant company does not always need to file a tax return, but you should never assume.

If HMRC has accepted that your company is dormant and has not asked for a Company Tax Return, you usually will not need to file one. However, if HMRC sends a notice to file, or if the company has had income or activity during the period, a dormant company tax return may still be required.

You will also normally still need to file dormant accounts and a confirmation statement with Companies House. The safest approach is simple: tell HMRC, keep Companies House filings up to date and get advice if you are unsure.

I had an excellent experience working with James Faulkner and the team at Agile Accountants. James provided clear, practical, and highly responsive guidance on a complex founder shareholding and vesting matter for our company. He took the time to carefully review our Articles of Association, explain the implications of different shareholder outcomes, highlight potential tax considerations, and walk us through the available options in a straightforward and easy-to-understand manner. His advice was thoughtful, balanced, and helped us navigate an important decision with confidence. What stood out most was James's willingness to provide detailed support, answer follow-up questions promptly, and ensure we understood both the technical and practical aspects of the process. I would highly recommend James and Agile Accountants to any founder or growing business looking for knowledgeable, professional, and dependable accounting support.
